About the Role

As an Assistant Company Secretary, you will play a key role in supporting the governance and compliance functions across PIB’s global entities. Your responsibilities will include:
  • Assisting with share issuances, document execution, and registry filings.
  • Maintaining accurate company records and ensuring compliance with corporate governance requirements.
  • Managing user access and permissions for key systems.
  • Coordinating with external company secretarial providers.
  • Supporting KYC and due diligence processes.
  • Drafting legal documents such as resolutions, consent to act, and resignation letters.
  • Handling Companies House filings and supporting year-end reporting.
  • Assisting with board meetings, scheduling, and distribution of documents via Diligent.
  • Taking and drafting board and committee meeting minutes, ensuring accuracy and timely circulation.

What We’re Looking For
  • Experience in a company secretarial or paralegal role.
  • Strong knowledge of corporate governance and compliance.
  • Familiarity with share issuances, registry filings, and legal documentation.
  • Experience with KYC, due diligence, and electronic signing platforms like DocuSign.
  • Excellent organisational skills and attention to detail.
  • Proficiency in board management software (Diligent preferred).
  • Strong communication skills to collaborate effectively with stakeholders.
  • Proven experience in taking and drafting board and committee minutes.
